Coaching Agreement

1. Introduction
This Coaching Agreement ("Agreement") is entered into by and between Coco Pierrel, acting on behalf of Eat Shed Glow LLC ("Coach"), and the purchaser ("Client") of Eat Shed Glow™ programs ("ESG™"), effective as of the date of purchase and continuing until completion of the selected program.
WHEREAS, Client desires to engage Coach for nutrition and lifestyle coaching services through ESG™; and
WHEREAS, Coach agrees to provide such services under the terms and conditions set forth herein;
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:
2. Program Options & Services Provided
Eat Shed Glow™ offers the following programs:
ESG™ Coaching ($1,195): 6-week comprehensive program including:
One (1) Initial Deep Dive Session (60 minutes via Zoom)
One (1) Personalized Roadmap (45+ page PDF, delivered within 48 hours)
Five (5) Weekly Follow-Up Coaching Sessions (30 minutes each via Zoom)
Unlimited text support (Monday-Friday, 8:00 AM - 8:00 PM EST)
Access to ESG™ Lifestyle upon completion
ESG™ Roadmap ($695): Self-guided program including:
One (1) Initial Deep Dive Session (60 minutes via Zoom)
One (1) Personalized Roadmap (45+ page PDF, delivered within 48 hours)
Option to upgrade to ESG™ Coaching within 30 days for $500 difference
ESG™ Lifestyle: For ESG™ Coaching graduates only:
Monthly 45-minute coaching sessions via Zoom
Direct text access support
1-month: $195

6-month package: $895

Non-refundable digital product
Client acknowledges that Coach does not guarantee specific results and is not a licensed medical provider or psychotherapist.
3. Compensation & Payment
Client agrees to compensate Coach as follows:
ESG™ Coaching: $1,195
ESG™ Roadmap: $695
ESG™ Lifestyle: From $195 per month
ESG™ Snacking Guide: $20
Payment is due in full at the time of enrollment. Payment plans may be available through Klarna at checkout with 0% APR options.
All payments are final and non-refundable.
4. Program Duration & Expiration
ESG™ Coaching: Must be completed within eight (8) consecutive weeks from start date to accommodate travel, illness, or holidays.
ESG™ Roadmap: Self-guided with no expiration on materials.
ESG™ Lifestyle: Monthly sessions must be used within each calendar month or expire.
The Initial Deep Dive Session must be scheduled within fifteen (15) days of purchase. Failure to schedule will result in program expiration without refund.
5. Payment Authorization & Chargebacks
Client authorizes Coach to charge the provided payment method. Coach is not responsible for overdraft or non-sufficient funds (NSF) charges. Unwarranted chargebacks shall constitute a material breach of this Agreement.
6. Refunds
All sales are final. No refunds are issued for any ESG™ programs including cancellations, missed sessions, non-participation, or digital products. This includes ESG™ Coaching, ESG™ Roadmap, ESG™ Lifestyle, and ESG™ Snacking Guide.
7. Early Termination
Coach reserves the right to terminate this Agreement if continued coaching is not beneficial due to professional or ethical reasons. If terminated by Coach, Client will be refunded for unused follow-up sessions at $100 per session (ESG™ Coaching only).
8. Cancellations & Rescheduling
Sessions require 24-hour notice to reschedule using the confirmation email link or by emailing coco@thehealthyweightlosscoach.com.
No-shows forfeit the session and cannot be rescheduled. This policy ensures commitment to the transformation process.
9. Zoom Session Guidelines
Sessions must be attended on time and in a distraction-free environment. Sessions may not be conducted while walking, driving, or engaging in unrelated activities. Clients must have video enabled for coaching effectiveness.
10. Upgrade Options
ESG™ Roadmap to ESG™ Coaching: Clients may upgrade within 30 days of receiving their Roadmap by paying the $500 difference.
ESG™ Lifestyle: Available only to ESG™ Coaching graduates. Must complete ESG™ Coaching before purchasing Lifestyle packages.
11. Intellectual Property Rights
All materials provided by Coach, including the ESG™ Roadmap, recipes, visual tools, and method are proprietary and copyrighted. Client may not copy, distribute, share, or use any materials for business, teaching, or commercial purposes. Materials are for personal use only. © 2025 Eat Shed Glow LLC. All rights reserved.
12. Confidentiality
Coach may use anonymized case studies or testimonials for professional purposes. Client's identity will only be disclosed with explicit written consent.
13. Client Responsibilities
Client agrees to:
Provide accurate health and nutrition information
Participate fully in scheduled sessions
Apply the strategies provided
Understand that results depend on their own efforts, consistency, and commitment
14. Between-Session Support
ESG™ Coaching clients: May contact Coach via text (Monday-Friday, 8:00 AM - 8:00 PM EST) or email (anytime). Coach will respond within 24 business hours.
ESG™ Roadmap clients: Email support only for clarifying questions about the Roadmap.
ESG™ Lifestyle clients: Text support based on package selected.
15. Medical Disclaimer
Coach is an Integrative Nutritionist certified through IIN and SUNY, not a licensed medical provider, registered dietitian, or psychotherapist. ESG™ provides nutrition education and coaching, not medical advice. Client agrees to consult their healthcare provider before making major health, dietary, or lifestyle changes, especially if taking medications including GLP-1 drugs (Ozempic, Wegovy, Mounjaro) or managing health conditions.
16. Assumption of Risk & Release of Liability
Client assumes all risks associated with dietary and lifestyle changes. Client releases Eat Shed Glow LLC, its employees, and affiliates from all claims, liabilities, or damages, except in cases of gross negligence.
17. Arbitration & Governing Law
Any disputes shall be resolved through binding arbitration by the American Arbitration Association. This Agreement is governed by the laws of the State of Connecticut.
18. Insurance Representation
Client warrants that they are covered by a health insurance policy or have means to access medical care if needed.
19. Limited Liability Clause
Eat Shed Glow LLC makes no guarantees regarding specific weight loss outcomes. Results vary by individual. Client waives all claims against Eat Shed Glow LLC and its representatives, except where prohibited by law.
20. Partnership with Refresh Therapy NYC
Coach may recommend therapeutic support through partner Refresh Therapy NYC for clients needing additional support for emotional eating or psychological factors affecting their relationship with food. Such services are separate from and not included in ESG™ programs.
21. Entire Agreement
This Agreement constitutes the full understanding between the parties and supersedes all prior agreements. No amendment shall be effective unless made in writing and signed by both parties.
By enrolling in any Eat Shed Glow™ program, Client acknowledges and agrees to all terms outlined above.
